A mineral right and the land above it are two separate titles, drawn by two institutions, often in two reference systems. Where they disagree, the mineralised ground may belong to someone who has never been approached.

Standards
What this desk will not do.
Brazilian mineral offers reach foreign desks through long, undisclosed chains, quoting numbers nobody signed. These rules exist so you can tell the difference in the first email.
Foreign companies can hold mining rights in Brazil, but only through a company incorporated in Brazil. Rural land acquisition by foreign-controlled entities is restricted by statute. We structure surface access around that restriction from day one.

On structuring foreign participation
Foreign capital may participate fully in Brazilian mining, but the holder of the mineral right must be a company incorporated in Brazil. Separately, the acquisition and leasing of rural land by foreign-controlled entities is restricted by statute, and that restriction has been upheld at constitutional level.
The consequence shapes the deal from day one: surface access for a foreign-controlled vehicle is normally secured through mining easements and surface-use agreements rather than land purchase. Investors who learn this in month one build a workable structure. Investors who learn it in month five lose the transaction.
